Terms and Conditions

At Ghostbuyers, we believe that every bookstore is a living story—one shaped by bold decisions, quiet instincts, and the occasional leap of faith. Our consulting services are designed to support that journey, offering thoughtful advice, strategic insight, and a sounding board for your vision. We don’t hand out prescriptions; we co-create possibilities. The terms below are here to clarify how we work together—so that our collaboration stays grounded, respectful, and clear-eyed. Because good boundaries make for great partnerships.

Effective Date: 9/9/2025

This Agreement (“Agreement”) is entered into between Ghostbuyers, an independent consulting entity based in Colorado (“Consultant”), and the client (“Client”) purchasing consulting services. By purchasing or using Ghostbuyers consulting services, Client agrees to the following terms:

1. Scope of Services

Ghostbuyers provides strategic consulting services to independent bookstores and related businesses. These services may include:

  • Business strategy and operational advice
  • Inventory and curation suggestions
  • Market insights and growth planning
  • Educational Online Courses

All recommendations are advisory only. Final decisions and implementations are the sole responsibility of the Client.

2. Consultation Hours & Payment

  • Consulting hours are sold in prepaid blocks (e.g., 1, 2, or 4 hours).
  • Full payment is required prior to service delivery.
  • Unused hours expire 12 months from the date of purchase unless otherwise agreed in writing.
  • Additional hours may be purchased at the prevailing rate.
  • Ghostbuyers reserves the right to adjust pricing with 30 days’ notice.

3. Deliverables & Format

Consulting may include verbal sessions, written reports, curated book lists, or strategic documents.

  • Deliverables will be provided in digital format unless otherwise agreed.
  • Ghostbuyers does not guarantee specific outcomes or results.
  • Online Courses are provided through access via the Ghostbuyers website. A registered account is required to ensure access.

4. Client Responsibility

Client acknowledges that:

  • Ghostbuyers’ role is advisory and consultative.
  • All business decisions, implementations, and outcomes are the sole responsibility of the Client.
  • Ghostbuyers shall not be liable for any direct or indirect consequences resulting from Client’s decisions.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information shared during the engagement.
This obligation survives termination of the Agreement.

6. Intellectual Property

All materials, frameworks, and documents provided by Ghostbuyers remain its intellectual property unless explicitly transferred in writing.
Client may use these materials internally but may not reproduce, distribute, or resell them without written permission.

7. Independent Contractor Status

Ghostbuyers operates as an independent contractor.
Nothing in this Agreement shall be construed to create a partnership, joint venture, or employment relationship.

8. Non-Solicitation

Client agrees not to solicit or hire Ghostbuyers’ collaborators, subcontractors, or vendors for a period of 12 months following the conclusion of services.

9. Expense Reimbursement

Any expenses incurred by Ghostbuyers on behalf of the Client (e.g., travel, materials) must be pre-approved and will be reimbursed within 14 days of invoicing.

10. Termination

Either party may terminate this Agreement with 7 days’ written notice.
Refunds for unused hours are at Ghostbuyers’ discretion and will be prorated based on hours used or scheduled.

11. Force Majeure

Ghostbuyers shall not be liable for delays or failures in performance due to events beyond its control, including but not limited to natural disasters, internet outages, or government actions.

12. Dispute Resolution & Arbitration

  • Any disputes shall first be resolved through good-faith negotiation.
  • If unresolved, disputes shall be submitted to binding arbitration in Durango, Colorado, under the rules of the American Arbitration Association.
  • Each party shall bear its own legal costs unless otherwise determined by the arbitrator.

13. Limitation of Liability

Ghostbuyers shall not be liable for any indirect, incidental, or consequential damages.
Total liability shall not exceed the amount paid by Client for consulting services in the preceding 6 months.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

15. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Amendments

Any changes to this Agreement must be made in writing and signed by both parties.

17. Notice

Formal communications under this Agreement shall be delivered via email or certified mail to the addresses provided by each party.

18. Entire Agreement

This Agreement constitutes the entire understanding between Ghostbuyers and the Client regarding consulting services and supersedes all prior communications.
